利用規約　Terms of Use

• 1. このウェブサイト（以下「本サイト」といいます）は、株式会社成美堂（以下「弊社」といいます）が運営しています。弊社の商品・サービス（以下「本サービス」といいます）利用時の会員登録の有無を問わず、本サイトの利用にあたっては、以下のご利用条件をお読み頂き、これらの条件にご同意の上ご利用ください。
• 1. This website (referred to below as "this site") is operated by Seibido Co., Ltd. (referred to below as "the company"). Whether or not you register as a member to use our products and services (referred to below as "this service"), please read the following terms and conditions carefully and use this site only if you agree to these terms.
• 2. 本サービスに関して個別に利用規約がある場合、本規約に加えそれらも適用されます。

• 3. 本サービスの利用にあたり、お客様による会員登録またはアクセスコード等の入力が必要となる場合があります。お客様は、会員登録時には全ての入力項目について正確かつ最新の情報を入力するものとし、また、その後会員登録情報に変更が生じた場合には、速やかに弊社の定めた方式により通知するものとします。会員登録時、アクセスコード入力時及び利用時には、本規約についてよく確認してください。お客様が会員登録ないし本サービスを利用した時点で、本規約の内容を承諾したものとみなします。お客様が未成年者等である場合は、法定代理人の同意を得た上で会員登録を行い、利用を開始してください。
• 3. When using this service, you may be required to register as a member or input an access code, etc. Customers must provide accurate and up-to-date information for all required fields during registration and notify us in good time of any changes in their registered information through a method specified by the company. By registering as a member or using this service, customers are considered to have accepted these terms. Customers who are minors must obtain consent from their legal guardian before registering and using the service.
• 4. 本サービスの提供はメンテナンス及び改善その他の事情により予告なく中断又は中止される場合があります。万一、何らかの事情により本サービスや関連する情報をご利用したことによりあるいはご利用になれないことにより損害が発生した場合も、弊社は一切の責任を負いません。
• 4. The provision of this service may be interrupted or discontinued without notice due to reasons such as maintenance or upgrades. The company is not liable for any harm resulting from the use or inability to use this service or related information.
• 5. お客様は、本規約に基づく権利および義務の全部または一部を第三者に移転・委託あるいは再許諾したり、使用させたり、第三者のために担保に供することはできません。

• 6. お客様はログインに必要なパスワード等の情報を、ご自身の責任の元に厳重に管理してください。弊社は、登録されたパスワード等を利用して行われた一切の行為を、会員ご本人の行為とみなすことができます。
• 6. Any actions taken using the registered password will be viewed by the company as having been taken by the registered member.
• 7. お客様が退会（弊社に提供した氏名、ID、パスワード及びメールアドレスの抹消をいいます）を希望する場合は、弊社の所定の手続を行うものとします。この手続を行った場合、お客様は会員に関する一切の権利ないし利益を失うものとします。アクセスコードの有効期間満了時も、お客様は会員に関する一切の権利ないし利益を失うものとします。
• 7. If a customer wishes to cancel membership (including deletion of their name, ID, password, and email address provided to the company), they must follow the prescribed procedures. Upon cancellation, the customer will lose all rights and benefits related to membership. Similarly, all rights and benefits will be lost once the validity of the access code has expired.
• 8. 本サイト上のコンテンツ・データ等（教材、音声、見本を含み、有償か無償かを問いません。以下も同様です。）にかかわる著作権・商標権等の知的財産権その他の権利は、特別な記載がない限り、コンテンツ・データ等の制作者、準拠するテキストの執筆者または弊社に帰属します。弊社が提供する商品・サービスはお客様個人の学習及び教育目的のためにのみ提供されており、お客様による商用利用、無断転載や電子化を含むいかなる形態のコピー、編集、改変、配信その他第三者への提供、販売、翻訳、翻案等も禁じられます。
• 8. Unless otherwise stated, copyrights, trademark rights, and other intellectual property rights related to the content and data on this site (including paid or free materials, audio, samples, etc.) belong to the creators of the content or data, the authors of the referenced textbooks, or the company. We provide our products and services solely for the purposes of personal learning and education and these may not be used for commercial purposes, unauthorized reproduction or digitization, copying, editing, modification, distribution, provision to third parties, sale, translation, or adaptation in any form.
• 9. お客様は、自らが本サービスにおいて投稿した情報及びその結果について、全責任を負うものとします｡また弊社は、弊社の自由な裁量にて予告無く、当該情報を本サービスに掲載せずあるいは削除する場合がありますので、予めご了承ください。
• 9. Customers are solely responsible for any information they post on this service and the consequences of doing so. The company reserves the right to refuse or delete such information from the service at its discretion without prior notice.
• 10. 本サービスで提供する情報・コンテンツ・データ等につきましては、主として語学学習のための参考資料として提供されるものであり、トピック内容に関するアドバイスを目的に提供されるものではありません。よって、弊社はその適時性、正確性、有用性について保証するものではありません。
• 10. The information, content, and data provided through this service are primarily intended for language-learning activities and are not intended as advice on the content of the topic. The company is therefore not in a position to guarantee the timeliness, accuracy, or usefulness of this information.
• 11. お客様は自らの責任において本サービスを利用するものとします。その利用した結果発生いたしましたお客様の損害・損失については、弊社は一切の責任を負いません。なお、本サービスに関する弊社とお客様との間のいずれかの合意（本規約を含みます。）が消費者契約法に定める消費者契約となる場合、同法に抵触する限度で本項の免責規定は適用されず、その他の条項は有効に存続するものとします。
• 11. Customers use this service at their own risk. The company is not responsible for any damage or loss incurred resulting from use of the service. However, if any agreement (including these terms) between the customer and the company constitutes a consumer contract under the Consumer Contract Act, this disclaimer applies only to the extent permitted by law, and the remaining provisions will remain valid.
• 12. 弊社は、弊社の故意過失による債務不履行または不法行為によりお客様に生じた損害のうち特別な事情から生じた損害について一切の責任を負いません。また、故意重過失による場合を除いて、弊社の過失による債務不履行または不法行為によりお客様に生じた損害の賠償は、お客様が本サービスを利用するにあたり支払った金額を上限とします。
• 12. The company is not liable for any special damages resulting from default or tort caused by the company's intentional or gross negligence. Unless otherwise specified, compensation for damages caused by the company's negligence is limited to the amount paid by the customer to use this service.
• 13. 弊社システムにて管理されているお客様の情報が保管・管理されている場合、その消失または毀損の事態に備え、システム利用継続中および利用終了後であってもお客様は自己責任において必ずデータの控えをとるものとします。万が一何らかの事由によりデータが消失または毀損した場合でも、その理由の如何にかかわらず弊社は一切責任を負いません。
• 13. Customers are responsible for backing up their data managed within our system. The company is not liable if data suffers loss or damage for any reason.
• 14. 本規約は予告なく改定することがあります。弊社は、本サービス上に本規約の変更点を掲示その他弊社が適当と認める方法により行ない、その時点から効力を生じます。お客様は常に最新の規約を確認するようご留意いただき、改定された規約は本サービスを利用し続けることにより、変更後の本規約に同意したものとみなします。
• 14. These terms may be revised without prior notice. Changes will take effect once posted on this service or as otherwise deemed appropriate by the company. Continued use of the service constitutes acceptance of the updated terms.

• 16. お客様は本サービスを利用するにあたり、以下の行為を禁止されます。

• (2) Encouraging or suggesting the commission of a criminal act.
• (3) 法令もしくは公序良俗に反するおそれのあるものまたはこれらの行為へ勧誘するもの（侮辱的、差別的言動、過度に暴力的な表現、露骨な性的表現、児童 ポルノ、児童および動物虐待、その他反社会的な内容を含み他人に不快感を与える表現を投稿、掲載、公開、送信する行為などを含みます。）
• (3) Actions that violate laws or public order and morals, or that solicit such actions (e.g., offensive, discriminatory, excessively violent, explicit sexual expressions, child or animal abuse, or any content that may cause discomfort to others).
• (4) 違法行為・犯罪的行為・重大な危険行為に結びつくことまたはこれらを助長すること
• (4) Engaging in illegal, criminal, or dangerous activities or aiding such activities.
• (5) 弊社を含む第三者の知的財産権（著作権、意匠権、実用新案権、商標権、特許権、ノウハウが含まれますがこれに限定されません）またはそれ以外の権利・利益を侵害すること、またはそのおそれがある行為を行うこと
• (5) Infringing on the intellectual property rights of the company or third parties.
• (6) 自己のID及びパスワード等本サービスの利用に必要となる情報の不正使用、貸与、開示、弊社又は第三者になりすます行為ないし弊社又は第三者のサービスへの無権限のアクセスその他の不正使用
• (6) Misusing, lending, or disclosing login credentials or accessing the service without authorization.
• (7) お客様個人の学習目的以外（たとえば、政治的行為、宣伝活動もしくは宗教的活動またはこれらに類似する行為を含みますがこれに限定されません）で利用すること
• (7) Using the service for purposes other than personal learning (e.g., political activities, advertising, religious activities).
• (8) 虚偽の情報を提供する行為、その他本サービスの運営を妨げること
• (8) Providing false information or interfering with the operation of the service.
• (9) その他、弊社が不適切と判断すること
• (9) Any other actions deemed inappropriate by the company.
• 17. お客様が前記禁止事項に該当する行為または本サービスの趣旨・目的に照らして不適切な行為を行ったあるいは行うことが予想されると弊社が判断した場合、弊社はお客様に対して、予めお客様に通知することなく、会員登録の拒否、本サービスの利用の停止、会員資格の取消その他弊社が適切と判断する措置（以下「利用停止措置等」といいます。）をとることができるものとします｡なお、利用停止措置等は事情の如何にかかわらず弊社の裁量・判断に基づき行うことができるものとし、利用停止措置等を行った理由については、その如何を問わず一切お答えいたしかねます｡
• 17. If a customer engages in prohibited activities or acts the company deems to be inappropriate, we reserve the right to take measures such as refusing membership registration, suspending use of the service, or canceling membership without prior notice. We are under no obligation to provide reasons for these actions.
• 18. 弊社は、本サービスにかかる事業を第三者に譲渡あるいは承継した場合（事業譲渡、合併、会社分割、その他の組織再編を含む）には、当該譲渡または承継に伴い本規約に基づき権利および義務を当該譲受人または承継人に譲渡または承継することができ、お客様はこれに予め同意したものとします。
• 18. If the business related to this service is transferred or succeeded by a third party (including mergers, company splits, etc.), the rights and obligations under these terms may be transferred or succeeded accordingly, with prior customer consent.
• 19. 本規約は、日本法に基づいて作成され、日本法に準拠し、同法に従って解釈されるものとします。
• 19. These terms are governed by and construed in accordance with Japanese law.
• 20. 弊社とお客様との間で紛争が生じた場合については、東京地方裁判所または東京簡易裁判所を第一審の専属的合意管轄裁判所とします。かかる管轄裁判所で得られた勝訴判決は、いずれの国の裁判所においても執行可能とします。
• 20. Any disputes between the company and customers will be resolved exclusively in the Tokyo District Court or Tokyo Summary Court. Judgments obtained in such courts will be enforceable in any country.
